Why this feed exists

A 10-Q is filed as a routine quarterly report, and it is read that way. That is exactly why companies put things in it that appear nowhere else.

Amazon disclosed a $50 billion investment in OpenAI in its 10-Q, filed on 30 July 2026. The 8-K it filed the same day does not mention OpenAI anywhere. Anyone watching only the event filings saw the 8-K and learned nothing. The disclosure was public that evening, sitting roughly 65,000 characters into a 225,000-character document. This feed reads the document the disclosure was actually in.

What each alert includes

An AI headline naming the company and the disclosure — not "Amazon files 10-Q." The passage the disclosure appears in, with a link to the filing on EDGAR. And a Market read on why it matters: what changed against the prior quarter, which tickers or counterparties it touches, and whether it is a new commitment or a restatement of something already known.

What we filter, honestly

Hundreds of companies file a 10-Q on a busy day, and most quarterly reports contain no news at all. Two gates run on this feed. It alerts only on S&P 500 filers, and only on filings that clear a high materiality bar — a new investment or commitment, a material change in debt or liquidity, a subsequent event, a revised outlook.

The routine quarter — the numbers landing where guidance said they would — does not reach your inbox. Neither do 10-Qs from companies outside the S&P 500. This is not full coverage of every quarterly report filed, and we are not going to describe it as though it were. It is the tail of the distribution, which is the part worth waking up for.

Cadence and volume

10-Q filings arrive in three concentrated bursts a year, roughly six weeks after each quarter ends, with thin stretches in between. Companies on off-calendar fiscal years file during those quiet weeks, so the feed never goes fully silent — but a slow fortnight is normal, not a fault. We watch EDGAR continuously through both.
